Ensure compliance with the regulatory regime governing the operations and policy framework of the Bank.
Ensure timely perfection of the Bank’s securities in order to meet set targets of the business departments and generally maintain an accurate and safe electronic record of all securities of the Bank.
Provide technical legal support to the Bank’s business and Operations divisions and ensure timely provision of legal due diligence to achieve set targets
Effectively manage, source and monitor external legal services and ensure effective representation of the bank in Courts of Law.
Effective supervision of the Legal and Compliance department in order to achieve the Bank’s strategic objectives; appraise and review performance of the Legal and Compliance team of the Bank.
 Have a lull understanding of the external environment challenges and opportunities and ensure this is reflected in strategic and operational priorities.
Ensure that all activities within Legal Services support the overall business plan and are underpinned by the Bank’s vision and values.
Contribute to the development of the Bank’s Business Strategic Plan and ensure that the set targets achieve customer satisfaction, quality service and value for money.
Effectively manage departmental and term performance ensuring that targets are set, monitored and achieved.
Prepare, monitor and manage Legal Services budget ensuring appropriate levels of financial delegation and management are in place.
Develop, initiate, maintain, and revise policies ‘and procedures for the general operation of the Compliance program and its related activities to prevent Illegal, unethical, or improper conduit. Manage day-to-day operation of the Program.
Develop and periodically review and update Standards of Conduct to ensure continuing currency and relevance in providing guidance to management.
Collaborate with other departments {Risk department. Internal Audit) to direct compliance issues to appropriate existing channels for investigation and resolution.
Monitor and as necessary, coordinate compliance activities of Other departments to remain abreast of the status of all compliance activities and to identify trends. Identify potential areas of compliance vulnerability and risk; develop/implement corrective issues, and provide general guidance on how to avoid or deal with similar situations in the future.
Provide reports on a regular basis, find as directed or requested to keep Compliance Committee of the Bank and Senior Management informed of the operation and progress of compliance efforts.
Develop an effective compliance training program including appropriate introductory training for new employees as well as ongoing training for all employees and managers on new laws, policies and compliance program.
Monitor the performance of the Compliance Program and relate activities on a continuing basis, taking appropriate steps, to improve its effectiveness.
Support the Executive Committee and other Management Committees in developing and reviewing Bank policies and ensuring adherence to set policies.


Requirement:
A minimum of a Bachelors of law (Honors) Degree
A Post graduate Diploma in Legal Practice.
LLM, MBA, IC5A will be added advantage.


Experience
A minimum of seven (7) years working experience In financial Institution or related corporate institution with at least three (31 years at Senior Management Level.
Demonstrate experience In Company Secretarial practices and corporate governance.
Sound understanding of the Ugandan Banking and Mortgage Industries.

3. Purpose of the Job
The District Coordinator will support coordination and implementation of project activities at the
district level reporting to the Chief Executive Officer. He/she will b responsible for supporting
the preparation, implementation and follow up of activities in assigned district, help to foster
integration and coordination among project activities while coordinating with partners local
government, CSO’s at the district level.

To ensure that the Credit function is performed in accordance with the Financial Institution Act 2004 and the Bank’s Credit Policy.
Research, analyze, and propose sector exposures and limits taking account of the prevailing and forecast economic and financial conditions.
Provide accurate reporting to management and the board in order that decisions are taken with account of risks involved.
Ensure the integrity of the credit evaluation process with regard to the approved risk grading model.
Ensure the Bank acts as a responsible corporate institution with regard to the environment and corporate social responsibility standards.
Continually review Sectorial ceilings, discretionary authorities, portfolio measures, including industry limits, tenor limits, risk rating, NPLs. risk acceptance criteria security acceptance and credit risk matrices.
Ensuring that provisioning policies are in line with the Bank’s Credit Policy Document, comply with Banking Ad and Prudential Guideline provisions and co-ordinate with Finance Department to ensure appropriate provisions and interest suspensions are effected in the Bank’s accounting systems.
Management of the Credit Appraisal system, ensuring that appropriate reviews of Credit proposals are undertaken on a timely basis.
Ensure continued maintenance of a quality portfolio in line with Bank’s standards as stipulated in policy guidelines.
Implementation of new and effective dimensions on portfolio risk management especially in line with Bank’s growth strategy
Implementation pi automated processes to minimize manual interventions thereby increasing efficiencies in delivery of credit products , it both personal and corporate lending levels.
Provide ongoing relevant training to all bank stiff involved in lending business to address identified skill gaps by transferring skills through job training coaching, mentoring and ensure harmony among the team to improve performance.
Identification and management of the sub standard and non performing assets portfolio of the Bank in line with the Credit Policy Document and recommend action to EXCO and the Board, which minimize losses and facilitate full recovery of any exposure taken by the bank.
Initiate review of industry and sector economic analysis and compile statistical information including micro-economic information, indices and provide feedback to the Senior Management Team, EXCO and the Board on the possible impact of identified trends.
Provide technical support to the Executive Committee on the management of the Bank’s credit portfolio and the review and approval process for credit proposals.
Management of the credit administration aspects of the portfolio, including ensuring that all requisite security documentations are in’ place prior to disbursements.
Organize, manage and motivate lite available human capital within Credit Risk Management Department through establishment of suitable organization structure and implementing development programmes to optimize competence and productivity.
To perform any other duties assigned by management to achieve the Bank’s objectives.
Review and maintain business continuity through robust succession plan for the department for smooth flow of business operations and ensure cover in the face of unplanned interruptions, losses or absence of staff.
Monitor the performance of the team through periodic performance reviews and ensure that staff are performing to expectation, according to agreed targets and identity and address areas of improvement.
Evaluation and implement appropriate remedial strategies such as restructuring of loan facility, enhancement in credit limits or reduction in interest rates to help
Improve obligor’s repayment capacity and avoid litigation.
